EVENT ADVERTISING
Terms of Service

By submitting an Event to CaliforniaCarShows.com the following is hereby agreed, certified, and attested to:
(1) you are 18 years of age or older;
(2) you are authorized Event Organizer(s) and/or representative(s) of and for said Event;
(3) the information you provided is true and valid, and was approved by said Event Organizer(s);
(4) you have authority and/or permission from said Event Organizer(s) to submit our required Event information to us, including an active eMail address and Phone number, with the complete understanding that said information once submitted will be visible in your listing and available to the public on the world wide web;
(5) the Event you submitted is legal, and your organization has obtained all necessary governmental permits/licenses/permission to hold said Event in your state/county/city (if any) on the date(s) submitted;
(6) you give CaliforniaCarShows.com the right to refuse, delete, or alter any Event for any reason, or no reason, at anytime;
(7) you agree to notify CaliforniaCarShows.com using our Delete request form if your Event is cancelled and/or will not be held on the listed date;
(8) and CaliforniaCarShows.com is not involved in said Event in any way, does not share any responsiblity in the information submitted, and does not share any liability for anything of any kind related to said Event(s).
We offer Free and Paid Listings - Paid Listings have additional options and are designed to bring additional attention to the Event. We do, however, reserve the right refuse, delete, or alter any listing at any time and for any reason.

YEARLY EVENTS
- Yearly BASIC Listings are posted on the Car Show Calendar with: event date, event city, event title, hours, phone contact, and an eMail contact. Basic listings also have: Event Title in"BOLD BLACK (and in CAPS if you typed it in CAPS), a "Flyer" link (if a Flyer was uploaded and meets our guidelines), and a "Website" link (if exact URL is submitted). Basic listings auto-delete when the event date elapses.
- Yearly FEATURED listings are posted on the Car Show Calendar with all the basic information, plus the listing has these addional features: Event Title is"BOLD RED" (and in CAPS if you typed it in CAPS), a "Flyer" link (if a Flyer was uploaded), a "Website" link (if exact URL is submitted), and the Event is Listed on Facebook. Featured listings auto-delete when the event date elapses.
- Yearly BANNER listings are posted on the Car Show Calendar with all the basic information, plus a 468x70/pi a "Banner" can be Uploaded and it will appear above the listing. The Event Title is"BOLD RED", a "Flyer" link, a "Website" link (if exact URL is submitted), a "Map" link to guide visitors to your event, and it is Listed on Facebook. Banner listings auto-delete when the event date elapses.
- Yearly BANNER+ listings are posted on the Car Show Calendar with all the basic information, plus we will build a "Banner" for your Event, designed to bring as much attention to the listing as we can. The Event Title is"BOLD RED", a "Flyer" link, a "Website" link (if exact URL is submitted), a "Map" link to guide visitors to your event, and it is Listed on Facebook. Banner+ listings auto-delete when the event date elapses.
- NON-PROFIT Listings are posted on the Car Show Calendar ONLY. These listings will have: event date, event city, event title, hours, phone contact, eMail contact. NOTE: A "Flyer" link will also provided in the listing IF one is uploaded AND the Flyer includes the 501(c)3 Organization that the event will be donating all proceeds to. Non-Profit listings are provided free of charge as a courtesy to support legally registered 501(c)3 organization events. We reserve the right to downgrade, refuse, delete, or alter any Non-Profit listing at any time and for any reason. Non-Profit listings auto-delete when the event date elapses.
- Yearly FREE Listings are posted on the Car Show Calendar with: event date, event city, event title, hours, phone contact, and an eMail contact. We reserve the right to refuse, delete, or alter any FREE listing at any time and for any reason. FREE listings auto-delete when the event date elapses.
IMPORTANT NON-PROFIT and FREE LISTINGS NOTES: 1) Non-Profit and Free listings must have 'Event City' and the 'Event Title' in Regular Text. When submitted in 'ALL CAPITAL LETTERS' or 'all lower case letters, it will be refused. 2) The eMail address and phone number you submit is what visitors use to obtain more info, so please be sure to submit the ones you want posted to the world wide web. 3) We do NOT accept Event Submissions or Delete requests via eMail, please use our Event Submission request form to request an event listing, and/or our Delete request form to request event deletions. 4) We do NOT accept change requests to Free and Non-Profit listings once the listing is live on the world wide web. IF you request a change to a listing, you will be required to submit the event as a 'Basic', 'Featured', or 'Banner' listing (see above), sorry no exceptions.

- Monthly BASIC Listings are posted on the Car Show Calendar and the Car Cruise Calendar with: event date, event city, event title, hours, phone contact, and an eMail contact. Monthly Basic listings also have: Event Title in"BOLD BLACK" text, a "Flyer" link (if one is uploaded), and a "Website" link (if exact URL is submitted). Basic listings auto-delete when the event date elapses. NOTE: We do NOT accept change requests to Monthly Basic listings once the listing is live on the world wide web, to request a change to a listing a new submission as a 'Basic', 'Featured', or 'Banner' listing (see above) is required, sorry no exceptions.

Weekly Basic listings remain live on the Car Cruise Calendar until the organizer sends us a requesst to delete the event using our Delete form.

CaliforniaCarShows.com will not, at any time, knowingly post a false, invalid or misleading Event, however, should a false, invalid or misleading Event ever be discovered, CaliforniaCarShows.com is not responsible for said false, invalid or misleading Event and/or anything related thereto, at any time, for any reason.
If we claim or appear to be experts on a certain topic or product or service area, we will only endorse products or services that we believe, based on our expertise, are worthy of such endorsement.
Any product claim, statistic, quote or other representation about a product or service should be verified with the manufacturer or provider.
Views and opinions expressed by our advertisers are are purely the views of those advertisers, not necessarily the views and opinions of this company.
We are not a non-profit organization. We accept forms of cash for business event submissions, re-submissions, upgrades, corrections, advertising, sponsorships, donations, and/or other forms of compensation. Even though we accept said compensation, CaliforniaCarShows.com never accepts compensation of any kind in exchange for inflated opinions for products, services, websites, and/or other topics, and/or will never influence the content on this site.
We reserve the right to change our 'Terms of Service' at any time without notice.
We have the right to refuse service to anyone without notice.
Your submission MUST also meet and agree with this MINIMUM criteria:
You are solely responsible for ensuring that the content and activities on your site are in compliance with all our other Terms of Service, as well as all other applicable laws and regulations.
OUR ADVERTISING FEES
When you purchase an Event Ad, you are accepting the terms to pay us for advertising your event and you agree to allow your credit card to be charged for the Ad type you are requesting.
RELEASE OF RESPONSIBILITY
Since the nature of this service is to provide Free and Paid Advertising for Events, we take no responsibility for the actions of you, the listing buyer. Once we receive your ad info, we agree to put it online as soon as possible if it meets our guidelines. If you are sending us a URL link to your website, flyer, and/or banner, you agree to maintain them at the exact URL you specified in your submission at least until the event date has expired. We have the right to delete your Ad, with no reimbursement, if your URL Links and/or banner become a dead link and no longer a visible on our site, or for any reason or no reason at all. If you are supplying a Banner it must be the sized 468 pixels wide by 60 to 70 pixels tall, in .jpg, .gif, or .png format. If you are opting to also be listed on our facebook page and/or upcoming events calendar we will post your banner (if applicable) or any event image in our database at our discretion.
PRIVACY POLICY
All the information you submitted to us will be available to the public through the world wide web. We will not willfully share your personal information or eMail address with anyone else (unless required by law). However, we may use your eMail address to contact you if we need additional information from you, or any other business reason we may have in regards with the ad you may have running with us.
BREACH OF AGREEMENT OR TERMS
If you breach this user agreement, or if you engage in conduct during the course of any advertisement with us that we feel could jeopardize our other users, or ourselves, we reserve the right to cancel your ad without notice.
MISCELLANEOUS FORCE MAJEURE
Neither party will incur any liability to the other party on account of any loss or damage resulting from any delay or failure to perform all or any part of this Agreement if such delay or failure is caused, in whole or in part, by events, occurrences or causes beyond its reasonable control. Data Usage. Applicant acknowledges and agrees that we may use the information you have provided in your ad request on our servers and any registration information submitted by you in aggregate form for research and product development, marketing, or other promotional purposes. You hereby agree that we have the right (but not the obligation) to disclose any such information if we believe such disclosure is needed to comply with the law or legal process or to protect the rights and interests of californiacarshows.com, CaliforniaCarShows.com, netmarketing.net, or others, including to enforce this Agreement. Notices. Any notice required or permitted under the terms of this Agreement or required by law shall be by electronic mail or in writing and shall be deemed delivered upon receipt to the party to whom such communication is directed, at the addresses specified below. If to californiacarshows.com, CaliforniaCarShows.com or netmarketing.net, the eMail notice shall be addressed to webmaster@CaliforniaCarShows.com, and the written notice to californiacarshows.com and/or CaliforniaCarShows.com Classified Ads at the address listed within the website. If to Applicant, the notices shall be addressed to the electronic or mailing address specified in Applicant's Classified Ad registration form.
Indemnity. Applicant agrees to indemnify, defend and hold harmless californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net, and its partners, subsidiaries, affiliates, officers, directors, shareholders, employees and agents, from any claim or demand, including reasonable attorney's fees, arising from any third-party claim, demand, action or proceeding, if resulting from or arising out of any alleged violation of this Agreement or any alleged violation of any rights of others or resulting from or arising out of the Service or Applicant's use thereof or listing therein or the acceptance or rejection of the site submitted by Applicant. Californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net has the right (but not the obligation), at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by Applicant, which shall not otherwise excuse Applicant's indemnity obligations.
DISCLAIMER AND LIMITATION ON LIABILITY
We make no warranty as to the correctness or accuracy of any information within any ad, we print exactly what you send us. If it is inaccurate and you need it corrected, please let us know as soon as possible, but please try to make the information you submit accurate to avoid this. By agreeing to these terms you accept full responsibility for the use of any of the content within our site. We are not responsible for any damages which occur from the use of this site or from your contact with other users, advertisers, or others. Our websites CaliforniaCarShows.com and netmarketing.net make no warranty express or implied that the service will be uninterrupted, undisrupted, or error free. Neither californiacarshows.com, CaliforniaCarShows.com, netmarketing.net, it's partners, subsidiaries, affiliates, officers, directors, shareholders, employees, or agents shall be liable, under any circumstances or legal theories whatsoever, for any loss of business, profits or goodwill, loss of use or data, interruption of business, or for any indirect, special, incidental or consequential damages of any kind that in any way result from any aspect of the service, including without limitation, applicant's use of or inability to use the service or acceptance, rejection or removal of applicant's advertisement, even if californiacarshows.com, CaliforniaCarShows.com, or netmarketing.net is aware of the risk of such damages. In no event shall californiacarshows.com, CaliforniaCarShows.com, netmarketing.net, and/or Rodrigue Co. liability to applicant and/or any other injured party exceed the amount actually paid by applicant to the Rodrigue Co. and/or CaliforniaCarShows.com and/or netmarketing.net under this agreement. Some of the above exclusions may not apply to you if your jurisdiction does not allow the exclusion of certain of the above warranties or liabilities.
GOVERNING LAW
This agreement and the parties' relationship will be interpreted and construed in accordance with the laws of the State of California and The United States Of America, without regard to conflict of law principles, applicable to contracts entered into and performed entirely within the State of California (without giving effect to any conflict of law principles under California law). The venue for any action, suit, or proceeding arising from or based upon this agreement or any aspect of the service, including, without limitation, applicant's use of or inability to use the service or acceptance, rejection or removal of applicant's advertisement(s), shall be appropriate State and Federal Courts located in the State of California. Accordingly, applicant and californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net agree that any action, suit, or proceeding arising from or based upon this agreement shall be commenced in and determined by those appropriate States and Federal Courts located in the State of California. In connection with the foregoing, applicant and CaliforniaCarShows.com and/or netmarketing.net each agree to submit to and be bound by the jurisdiction of the appropriate State and Federal Courts located in the State of California.
SEVERABILITY
If any term, condition or provision in this Agreement is found to be invalid, unlawful or unenforceable to any extent, such invalid term, condition or provision will be severed from the remaining terms, conditions and provisions, which will continue to be valid and enforceable to the fullest extent permitted by law. Applicant agrees that no action related to this Agreement or the Service or Applicant's listing in the Directory may be brought more than one year after delivery of the Service giving rise to such cause of action. Section Titles: The section titles in the Agreement are for convenience only and shall have no effect on the interpretation of any part or provision regardless of the title heading under which the part of provision is allocated.

BUSINESS ADVERTISING
Terms of Service

By submitting a Business Ad to CaliforniaCarShows.com the following is hereby agreed, certified, and attested to:
(1) you are 18 years of age or older;
(2) you are an authorized representative of and for said Business;
(3) you have authority and/or permission to submit all information requested on our submission forms regarding said Business Ad, so that it becomes public information on the world wide web;
(4) all information you provided was true and valid, including the required eMail address and Phone numbers;
(5) the Business Ad submitted is legal, and your organization has obtained all necessary governmental permits/licenses/permission to advertise in your state/county/city (if any);
(6) you give CaliforniaCarShows.com the right to alter or remove your Business Ad for any reason, or no reason, at anytime;
(7) you will notify CaliforniaCarShows.com if/when said Business Ad is cancelled and/or no longer needed or applicable;
(8) and CaliforniaCarShows.com is not involved in said Business in any way, does not share any responsiblity in the information submitted, and does not share any liability for anything of any kind related to said Business.
Business Ads will have the following:
(1) Tower Ads: we agree to place your Tower Ad in at least three (3) places on http://CaliforniaCarShows.com. Two (2) of those places will be on the Car Show Calendar home page, and one (1) place will be on the Racing page.
(2) Banner Ads: we agree to place a Banner Ad in at least three (3) places on http://CaliforniaCarShows.com. Two (2) of those places will be on the Car Events Calendar home page, and one (1) place will be on the Racing page.
(3) Tower Ads and Business Ads: we agree to place your Ad in at least one (1) place on https://facebook.com/CaliforniaCarShows.com.
When you want us to build your Tower or Banner Ad:
(1) We prefer to use your images for the build.
(2) If you don't provide images you give us permission to use our images.
(3) We link your Ad to the URL you specify.
(4) Your Ad will run for one full year (365 days).
(5) We DO NOT alter or change your Ad after it is 'live' online.
When you supply your Ad it MUST meet this MINIMUM criteria:
(1) Tower Ad requirements: 200 pixels wide, and up to 400 pixels tall, in .jpg, .gif, or .png formats.
(2) Banner Ad requirements: 468 pixels wide, and up to 70 pixels tall, in .jpg, .gif, or .png formats.
Tower and Banner Ad Option: Advertisers supplying their Ad have the option to host their Ad on THEIR website. This requires giving us the exact URL so we can link to it on on http://CaliforniaCarShows.com. When advertisers choose to host their Ad it still must meet the size and format requirements above. The benefit of hosting is the Ad can be changed at any time simply by uploading a replacement Ad. The replacement Ad must have same name, size, and format, otherwise it won't update correctly on http://CaliforniaCarShows.com. When a replacement is uploaded correctly, it automatically updates on http://CaliforniaCarShows.com. IMPORTANT: If an Ad is renamed, moved, or deleted, the Ad will not display correctly on http://CaliforniaCarShows.com, and will be removed from http://CaliforniaCarShows.com without notice or refund. If this hosting option is selected, and the Ad is changed to an Ad that we feel is offensive, slanderous, sexually oriented, religiously orientated, or if it is re-directed to a different website other than the one we approved in your application, or if we feel the altered Ad is inappropriate in any other way, we will remove the Ad from http://CaliforniaCarShows.com without notice or refund.
(3) We link your Ad to the URL you specify.
(4) Your Ad will run for one full year (365 days).
(5) We DO NOT alter or change your Ad after it is 'live' online.
You are solely responsible for ensuring that the content and activities on your site are in compliance with all our other Terms of Service, as well as all other applicable laws and regulations.
We reserve the right to change our 'Terms of Service' at any time without notice.
We have the right to refuse service to anyone without notice.
OUR ADVERTISING FEES
You are accepting the terms to Advertise on CaliforniaCarShows.com, and after your payment is processed you get 365 days of advertising on the californiacarshows.com/CaliforniaCarShows.com website. You agree to allow your credit card to be charged for the type of Ad you are requesting. If you choose to supply your own Ad, you agree it will be the size specified and type required, and if you are hosting the Ad you agree to keep it active online at the exact URL you originally submitted.
RELEASE OF RESPONSIBILITY
We take no responsibility for your actions when you hosting your own Ad, and we recommend you ensure that your Ad is kept live on your site so our link to it remains active. If your Ad ever becomes a dead link we will remove your banner and/or link without notice or refund.

If to Applicant, the notices shall be addressed to the electronic or mailing address specified in Applicant's Advertising registration form.

Californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net has the right (but not the obligation), at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by Applicant, which shall not otherwise excuse Applicant's indemnity obligations.

In no event shall californiacarshows.com, CaliforniaCarShows.com, or netmarketing.net's liability to applicant and/or any other injured party exceed the amount actually paid by applicant to californiacarshows.com, CaliforniaCarShows.com, netmarketing.net, and/or Rodrigue Co. under this agreement. Some of the above exclusions may not apply to you if your jurisdiction does not allow the exclusion of certain of the above warranties or liabilities.
GOVERNING LAW
This agreement and the parties' relationship will be interpreted and construed in accordance with the laws of the State of California and The United States Of America, without regard to conflict of law principles, applicable to contracts entered into and performed entirely within the State of California (without giving effect to any conflict of law principles under California law). The venue for any action, suit, or proceeding arising from or based upon this agreement or any aspect of the service, including, without limitation, applicant's use of or inability to use the service or acceptance, rejection or removal of applicant's advertisement(s), shall be appropriate State and Federal Courts located in the State of California. Accordingly, applicant and californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net agree that any action, suit, or proceeding arising from or based upon this agreement shall be commenced in and determined by those appropriate States and Federal Courts located in the State of California. In connection with the foregoing, applicant and californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net each agree to submit to and be bound by the jurisdiction of the appropriate State and Federal Courts located in the State of California.
SEVERABILITY
If any term, condition or provision in this Agreement is found to be invalid, unlawful or unenforceable to any extent, such invalid term, condition or provision will be severed from the remaining terms, conditions and provisions, which will continue to be valid and enforceable to the fullest extent permitted by law. Applicant agrees that no action related to this Agreement or the Service or Applicant's listing in the Directory may be brought more than one year after delivery of the Service giving rise to such cause of action. Section Titles: The section titles in the Agreement are for convenience only and shall have no effect on the interpretation of any part or provision regardless of the title heading under which the part of provision is allocated.

CLASSIFIED ADVERTISING
Terms of Service

By submitting a Classified Ad to CaliforniaCarShows.com the following is hereby agreed, certified, and attested to:
(1) you are 18 years of age or older;
(2) you are the owner(s) and/or an authorized representative(s) of the item being listed For Sale;
(3) you have authority and/or permission to submit all information requested on our submission forms regarding said For Sale Ad, so that it becomes public information on the world wide web;
(4) the information you provided is true and valid, and the required eMail address and Phone number was approved by the item owner(s) giving us permission to make said information public and available on the world wide web;
(5) the Classified Ad submitted is/are legal, and you or your organization has obtained all necessary governmental permits/licenses/permission to advertise in your state/county/city (if any);
(6) you give CaliforniaCarShows.com the right to alter or remove your For Sale Ad for any reason, or no reason, at anytime;
(7) you will notify CaliforniaCarShows.com if/when said Sale item is Sold and/or no longer needed or applicable;
(8) and CaliforniaCarShows.com is not involved in said For Sale item in any way, does not share any responsiblity in the information submitted, and does not share any liability for anything of any kind related to said Classified Ad.
Classified Ads are offered as follows:
- FREE Ad - Free Ads are listed in the Classified Ads section of the Car Show Calendar, with the following: 1) Year, Make, Model, Price, and eMail address so visitors can contact you; 2) You agree to notify us when your vehicle is no longer available; 3) Free Classified Ads run for one (1) year, or till you notify us the vehicle is no longer available; 4) Your Vehicle's Make and Model MUST be in 'Regular Type' to be posted online, if you submit it in 'ALL CAPS' or 'all lower case' type your Ad will be rejected without notice; 4) We do NOT accept change requests to Free Classified Ad listings once they are live online.
- PHOTO Ad - Photo Ads are posted in the Photo Ads section of Classified Ads on the Car Show Calendar with the following : 1) One (1) photo image of your vehicle (Upload is limited 1 Mb max.); 2) Year, Make, Model, Price; 3) A 'more info' button is provided that links to your eMail address; 4) Your Ad with photo will be posted on our popular facebook to thousands of our followers; 5) You agree to notify us when your vehicle is no longer available; 6) Photo Ads run for one (1) year, or till you notify us the vehicle is no longer available; 7) Your Vehicle's Make and Model MUST be in 'Regular Type' to be posted online, if you submit it in 'ALL CAPS' or 'all lower case' type we will notify you one (1) time, you will have seven (7) days to send us the Make and Model in 'Regular Type' or the Ad will be rejected. 7) We do NOT accept change requests to Photo Ad listings once they are live online.
We DO NOT alter or change your Ad after it is 'live' online.
You are solely responsible for ensuring that the content and activities on your site are in compliance with all our other Terms of Service, as well as all other applicable laws and regulations.
We reserve the right to change our 'Terms of Service' at any time without notice.
We have the right to refuse service to anyone without notice.
OUR ADVERTISING FEES
You are accepting the terms to Advertise on CaliforniaCarShows.com, and after your payment is processed you will get advertising on the CaliforniaCarShows.com website. You agree to allow your credit card to be charged for the type of Ad you are requesting.
RELEASE OF RESPONSIBILITY
Since the nature of this service is to provide Paid Advertising, we take no responsibility for the actions of you, the listing buyer. Once we receive your ad info, we agree to put it online as soon as possible if it meets our guidelines. If you are sending us a URL link to your website you agree to maintain it at the exact URL you specified in your submission at least until the event date has expired. We have the right to delete your Ad, with no reimbursement, if your URL Link becomes a dead link and no longer a visible on our site. If you are listed on our facebook calendar we will post your Ad at our discretion. If your eMail address is protected with reCAPTCHA, we do not guarantee it won't be subject to human eMail address harvesting.
PRIVACY POLICY
All the information you submitted to us will be available to the public through the world wide web. We will not willfully share your personal information or eMail address with anyone else (unless required by law). However, we may use your eMail address to contact you if we need additional information from you, or any other business reason we may have in regards with the ad you may have running with us.
BREACH OF AGREEMENT OR TERMS
If you breach this Advertising agreement, or if you engage in conduct during the course of any advertisement with us that we feel could jeopardize our other users, or ourselves, we reserve the right to cancel your ad without notice.
MISCELLANEOUS FORCE MAJEURE
Neither party will incur any liability to the other party on account of any loss or damage resulting from any delay or failure to perform all or any part of this Agreement if such delay or failure is caused, in whole or in part, by events, occurrences or causes beyond its reasonable control. Data Usage. Applicant acknowledges and agrees that we may use the information you have provided in your ad request on our servers and any registration information submitted by you in aggregate form for research and product development, marketing, or other promotional purposes. You hereby agree that we have the right (but not the obligation) to disclose any such information if we believe such disclosure is needed to comply with the law or legal process or to protect the rights and interests of californiacarshows.com, CaliforniaCarShows.com, netmarketing.net, or others, including to enforce this Agreement. Notices. Any notice required or permitted under the terms of this Agreement or required by law shall be by electronic mailor in writing and shall be deemed delivered upon receipt to the party to whom such communication is directed, at the addresses specified below. If to californiacarshows.com, CaliforniaCarShows.com, or netmarketing.net, the eMail notice shall be addressed to webmaster@CaliforniaCarShows.com, and a written notice to CaliforniaCarShows.com Advertising at the address listed within the website. If to Applicant, the notices shall be addressed to the electronic or mailing address specified in Applicant's Classified Ad registration form.
Indemnity. Applicant agrees to indemnify, defend and hold harmless californiacarshows.com, CaliforniaCarShows.com, or netmarketing.net, and its partners, subsidiaries, affiliates, officers, directors, shareholders, employees and agents, from any claim or demand, including reasonable attorney's fees, arising from any third-party claim, demand, action or proceeding, if resulting from or arising out of any alleged violation of this Agreement or any alleged violation of any rights of others or resulting from or arising out of the Service or Applicant's use thereof or listing therein or the acceptance or rejection of the site submitted by Applicant. Californiacarshows.com, CaliforniaCarShows.com, and/or netmarketing.net has the right (but not the obligation), at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by Applicant, which shall not otherwise excuse Applicant's indemnity obligations.
